Virtual Address & Mail Handling Service Agreement

This Virtual Address & Mail Handling Service Agreement (the "Agreement") is between you and Incorporate Now Inc, a Florida corporation with an office at 100 S. Dixie Hwy., 3rd Floor, West Palm Beach, FL 33401 (the "Company", "we", "us", or "our"). It governs the virtual address, mail receipt, scanning, storage, forwarding, shredding, and related operational services that we provide through the mailnow.ai web application (the "Service").
This Agreement is incorporated by reference into our Terms of Service. If you use the mail-handling parts of the Service, this Agreement applies in addition to those Terms. In the event of a conflict between this Agreement and the Terms of Service on matters specific to physical mail handling, this Agreement controls (see Section 18).
Receiving mail on another person's behalf is a regulated activity in the United States. Before we can accept any mail for you, you must complete and deliver a properly executed USPS Form 1583 as described in Section 3.
How we handle every Mail Item by default
By default, we open and scan every piece of mail we receive on your behalf, and post the scanned contents to your account. We do not offer an envelope-only mode or a scan-on-request mode. If you do not want a piece of mail opened and scanned, do not have it sent to your assigned mailnow.ai address. The full authorization for this handling is in Section 5 (Mail Authorization).
1. Definitions
Capitalized terms not defined here have the meanings given to them in the Terms of Service. In addition, the following terms have the meanings below:
- "CMRA" means a Commercial Mail Receiving Agency, i.e., a business that receives mail on behalf of others under USPS Domestic Mail Manual rules. The Company operates as a CMRA for Customers of the Service.
- "Form 1583" means USPS Form 1583 — Application for Delivery of Mail Through Agent — together with the identification documents and other materials required by USPS for a CMRA to accept mail on a Customer's behalf.
- "Authorized Recipient" means each individual or entity listed on the Customer's Form 1583 as authorized to receive mail at the Customer's assigned mailnow.ai address.
- "Mail Operations Center" means the Company's physical mail facility, where Mail Items are received, opened, scanned, stored, forwarded, returned, or destroyed.
- "Mail Services" means the services described in Section 2.
2. Scope of Services
Subject to your compliance with this Agreement, the Company will:
- assign you a mailnow.ai mailing address at the Mail Operations Center and receive mail addressed to you at that address;
- open envelopes and packages addressed to you (under the authorization you grant in Section 5) and photograph and digitally scan their contents;
- perform optical character recognition (OCR) and AI-assisted summarization, categorization, and sender or customer matching on the scanned contents;
- make digital copies of each Mail Item available to you through the Service; and
- store, forward, return-to-sender, or shred individual Mail Items in accordance with your instructions or the default rules in Section 6.
The Mail Services do not include any service that is not expressly listed in this Agreement. If you have enabled and configured the Check Deposit Services, Checks identified in your mail are routed into that pipeline as described in that agreement; otherwise we treat them as ordinary Mail Items.
3. USPS Form 1583 — Customer Obligations
USPS rules require every CMRA to obtain a completed and witnessed Form 1583 before accepting any mail for a Customer. Before we will accept any mail on your behalf, you must:
- complete USPS Form 1583 designating the Company as your agent for the receipt of mail at the assigned mailnow.ai address;
- provide two forms of valid identification as required by Form 1583, including one government-issued photo ID and one acceptable secondary ID;
- have Form 1583 signed and notarized in accordance with USPS rules, or — where the Company offers a USPS-approved remote identity-verification or remote-notarization workflow — complete that workflow as instructed in the Service;
- list every Authorized Recipient on Form 1583, and update Form 1583 promptly whenever your Authorized Recipients change (for example, when employees join or leave, or when you add a new "doing business as" name); and
- provide truthful, accurate, and complete information. You represent and warrant that all identification, address, and entity information you provide on or in support of Form 1583 is genuine, currently valid, and not obtained by fraud or impersonation.
You acknowledge that the Company will not, and is not legally permitted to, accept mail on your behalf until Form 1583 has been properly completed, witnessed, and accepted by the Company. Mail received before that date may be returned to sender or held until Form 1583 is in place.
International Customers. Customers located outside the United States may have additional local mail-handling, agent, or identity-verification requirements imposed by their own jurisdiction. Compliance with those local requirements is your sole responsibility.
4. Recordkeeping
The Company retains your executed Form 1583 and the supporting identification for as long as you use the Service, plus the period required by USPS rules for CMRAs (currently four years after termination of the Service to you). The Company will disclose Form 1583 and the supporting identification to the USPS Postal Inspection Service, the USPS Office of Inspector General, and other law-enforcement or regulatory authorities upon lawful request, without further notice to you where notice is prohibited by law.
5. Mail Authorization (Customer's Consent)
You expressly authorize the Company and its personnel, contractors, and agents to:
- take physical possession of all mail and packages addressed to you, your business, your "doing business as" names, or any Authorized Recipient at the assigned mailnow.ai address;
- open and remove the contents of envelopes and packages addressed to you;
- photograph, scan, and digitize the envelope, packaging, and contents (including all enclosed pages, inserts, and attachments);
- run OCR, text extraction, and AI-assisted processing on the scanned contents (including by submitting the contents to our AI subprocessor as described in Section 8) for the purpose of indexing, summarizing, categorizing, and matching the Mail Item to a sender or customer record; and
- re-package, store, forward, return-to-sender, or destroy the physical Mail Item in accordance with your instructions in the Service or the default rules in Section 6.
This authorization is essential to the Mail Services and may not be revoked while you continue to use them; if you wish to revoke this authorization, you must terminate the Mail Services as described in Section 11.
6. Default Handling Rules
The following default rules apply unless you change them through the Service or unless we agree with you in writing on different handling:
- Scan turnaround. We use commercially reasonable best efforts to open, scan, and post each Mail Item to your account promptly after physical receipt at the Mail Operations Center. This is a best-efforts commitment only, with no guaranteed turnaround time, and may be extended during volume spikes, holidays, mail-carrier disruptions, or for any reason described in Section 21 (Force Majeure) of the Terms of Service.
- Suspected checks. Mail Items identified as containing a paper check are routed into the Check Deposit pipeline only if you have enabled and configured the Check Deposit Services. Otherwise the Check is treated as an ordinary Mail Item under this Agreement.
- Original-mail retention. Original physical Mail Items are held at the Mail Operations Center for at least thirty (30) calendar days after digitization. After that period, the Company may shred them using a commercial-grade cross-cut shredder, but is not obligated to do so and may, in its sole discretion, retain original Mail Items for a longer period. You should not rely on the Company to preserve, return, or destroy any original Mail Item on a specific schedule unless you have requested forwarding or extended retention through the Service.
- Forwarding. Mail Items you mark for forwarding are forwarded to the address you designate, at your expense, in accordance with Section 10. The Company may pre-charge or invoice postage and a handling fee for each forwarded item.
- Mail to non-Authorized Recipients. Mail addressed to a person or entity who is not listed as an Authorized Recipient on your Form 1583 is returned to sender marked "Not Known at This Address."
- Suspected unlawful or hazardous items. Items of an obviously unlawful nature — including suspected contraband, hazardous material, child sexual abuse material, or any item otherwise prohibited by USPS or common-carrier rules — are set aside, retained where required by law, and disclosed to the appropriate law-enforcement authority.
7. Items We Will Not Handle
The Company does not accept, store, transport, or forward, and the assigned mailnow.ai address may not be used to receive, any of the following:
- hazardous materials, flammables, explosives, or biohazards;
- perishables, food items, plants, live animals, or remains;
- currency, coins, bullion, bearer instruments, jewelry, or other high-value items intended to be held by the Company;
- firearms, ammunition, weapons, or weapon parts and accessories;
- controlled substances, drug paraphernalia, marijuana products (regardless of state legality), or other items the carriage of which is restricted by federal law;
- items requiring temperature control, refrigeration, or special handling;
- items exceeding the weight, size, or value limits the Company posts in the Service from time to time; and
- any other category of item the Company designates as prohibited from time to time, on notice in the Service.
Such items may, in the Company's discretion, be refused at delivery, returned to sender, destroyed, or surrendered to the appropriate authority. The Company has no liability for the value of any prohibited item directed to your address.
8. AI Processing of Mail Contents
As described in our Privacy Policy, the Company sends scanned Mail Item contents (including OCR text and, where needed, page images) to our AI processing provider through its API for OCR, text extraction, summarization, categorization, and sender and customer matching. Our AI processing provider has contractually committed that data submitted through its API is not used to train its models and is retained only for limited operational purposes, and our integration relies on those API-tier (business) protections. For the current named AI processing provider, see our Subprocessors page. The Company may retain aggregated, de-identified usage data derived from this processing in accordance with the Privacy Policy.
9. Confidentiality of Mail
The Company treats the contents of your Mail Items as confidential. Access to opened mail and scanned contents is limited to Company personnel, contractors, and subprocessors with a need to know in order to operate, secure, support, or audit the Service. The Company will not read your mail beyond what is necessary to operate the Mail Services (including scanning, OCR/AI processing, sender matching, forwarding, and routine quality assurance). The Company will disclose mail contents only (a) to you and your Authorized Users, (b) as necessary to provide the Mail Services or other features of the Service that you have enabled, (c) as permitted by the Privacy Policy, or (d) as required by law or valid legal process.
10. Forwarding
You may instruct the Company through the Service to forward specific Mail Items, or all incoming Mail Items, to a designated address. Forwarding is at your expense; the Company will charge postage and a handling fee in the amounts disclosed in the Service's pricing pages or in your forwarding configuration.
The Company may decline a forwarding request if (i) the destination address is incomplete or appears invalid, (ii) the item is one the Company will not handle under Section 7, (iii) you have an unpaid balance for forwarding postage or handling fees, (iv) the carrier refuses to accept the item, or (v) the item has already been physically destroyed (for example, shredded) and is therefore no longer available to forward.
Title to and risk of loss in forwarded Mail Items pass to the carrier upon tender to the carrier. The Company is not responsible for delay, loss, damage, mis-delivery, or non-delivery by the carrier after tender.
11. Suspension and Termination of the Address
The Company may suspend acceptance of mail at your assigned mailnow.ai address, or terminate the Mail Services and the assigned address, at any time and effective immediately upon notice if:
- Form 1583 has not been completed, is incomplete, has expired, cannot be verified, or is reasonably believed by the Company to be inaccurate or fraudulent;
- your payment for the Mail Services or any related fee is past due after notice and a reasonable opportunity to cure;
- the Company has a good-faith belief that the assigned address is being used for a purpose prohibited by the Acceptable Use Policy or otherwise unlawful;
- the USPS, USPS Postal Inspection Service, USPS Office of Inspector General, a court, or other lawful authority directs the Company to suspend or terminate; or
- you terminate the Service or the Mail Services as permitted by the Terms of Service.
On termination of the Mail Services, the Company will continue to accept and handle mail received at your assigned address under the standard Mail Services for up to thirty (30) days after the effective date of termination, as a courtesy wind-down period. The Company is not obligated to forward mail to you after termination. After the 30-day wind-down period ends, mail received at the assigned address will be refused and returned to sender marked "Not Known at This Address," and the assigned address will no longer be available to you. Form 1583 and the supporting identification are retained for the period described in Section 4.
12. Lost or Damaged Mail — Limit of Liability
The Company will use commercially reasonable care in handling your Mail Items, but does not and cannot guarantee that every Mail Item will be received, opened, scanned, stored, forwarded, or destroyed without error, loss, delay, mis-routing, mis-scanning, or damage.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY'S TOTAL CUMULATIVE LIABILITY FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO LOST, DAMAGED, MIS-ROUTED, MIS-SCANNED, IMPROPERLY DESTROYED, OR OTHERWISE MIS-HANDLED MAIL ITEMS IS CAPPED AT THE LESSER OF (A) THE AMOUNTS YOU PAID THE COMPANY FOR MAIL SERVICES IN THE NINETY (90) DAYS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $200 PER AFFECTED MAIL ITEM.
You are solely responsible for not directing to the assigned address any irreplaceable original document, bearer instrument, original wet-ink signed legal instrument, or other item whose value exceeds the limits in this Section. You acknowledge that this limit is a material part of the bargain and that the fees for the Mail Services have been set in reliance on it.
The Company has no liability under this Agreement for losses caused by (i) the United States Postal Service, any other common carrier, or any third party prior to the Company's physical receipt of the Mail Item at the Mail Operations Center, (ii) the carrier or any third party after tender of a forwarded item to the carrier, (iii) your own act, omission, or instructions, or those of your Authorized Users or Authorized Recipients, or (iv) any event described in Section 21 (Force Majeure) of the Terms of Service.
The cap and exclusions in this Section apply in addition to, and do not increase, the aggregate cap on the Company's liability set out in Section 18 of the Terms of Service.
13. No Bailment Beyond These Terms
The Company's receipt and handling of your Mail Items does not constitute a bailment for hire, warehouse-receipt arrangement, or escrow beyond what is expressly described in this Agreement. Nothing in this Agreement is intended to make the Company an insurer or guarantor of any Mail Item or its contents.
14. Customer Representations
You represent and warrant that:
- you will not use the assigned mailnow.ai address for any purpose prohibited by the Acceptable Use Policy or otherwise unlawful, including mail fraud, money laundering, tax evasion, the obstruction of legal process, or evasion of postal regulations;
- you are lawfully entitled to receive mail addressed to each Authorized Recipient at the assigned address;
- you will keep your Form 1583 and your Authorized Recipient list current, and will promptly update them whenever Authorized Recipients change;
- you will not knowingly direct any item described in Section 7 to the assigned address; and
- all identification, address, and entity information you provide to the Company in connection with this Agreement is true, accurate, and complete, and you will promptly notify the Company of any change.
15. Indemnification
You will defend, indemnify, and hold harmless the Company and its affiliates, officers, directors, employees, contractors, and agents from and against any third-party claim, suit, action, or proceeding, and any resulting losses, damages, liabilities, settlements, judgments, costs, and reasonable attorneys' fees, arising out of or relating to:
- (a) your misuse of the assigned mailnow.ai address or the Mail Services;
- (b) inaccurate, incomplete, or fraudulent information provided on or in support of your Form 1583;
- (c) any item described in Section 7 directed to the assigned address; and
- (d) any third-party claim that mail addressed to you, an Authorized Recipient, or your business was actually intended for a different recipient.
Your indemnification obligations under this Section are subject to, and aggregate with, the indemnification process and aggregate cap set out in the Terms of Service.
16. Cooperation with USPS and Law Enforcement
The Company will cooperate with the USPS Postal Inspection Service, the USPS Office of Inspector General, the Financial Crimes Enforcement Network (FinCEN), the Internal Revenue Service, state attorneys general, and other lawful authorities in connection with their investigations and enforcement activities. The Company may, in response to a lawful request or where the Company has a good-faith belief that disclosure is required by law or necessary to prevent or investigate fraud or serious harm, disclose your information, your Form 1583 records, your Mail Items, and the contents of your Mail Items to those authorities, without notice to you where notice is prohibited by law.
17. Relationship
The Company acts as your mail-handling agent only for the limited purposes set out in this Agreement and on Form 1583. Nothing in this Agreement creates a registered-agent, service-of-process-agent, attorney-client, accountant-client, banking, fiduciary, joint-venture, partnership, or general agency relationship between you and the Company. The Company is not your registered agent for service of process and will not accept service of legal process on your behalf in that capacity.
18. Incorporation
This Agreement is part of, and incorporated by reference into, the Terms of Service. In the event of a conflict between this Agreement and the Terms of Service on matters specific to the handling of physical mail, this Agreement governs. In all other respects the Terms of Service continue to apply, including the provisions on disclaimers of warranty, limitation of liability, dispute resolution, governing law, and venue.
